1. General Information and Definitions

1.1 Operator Identification

This document establishes the terms and conditions for using the services offered by:

MKOR Consultanta SRL

MKOR Consultanta SRL is a company specialized in market research and opinion polls, registered and operating in accordance with the Romanian legislation in force.

1.2 Definitions

For the purposes of this document, the following terms shall have the meanings set forth below:

„MKOR”, „We”, „Operator” or „The Company” – MKOR Consultanta SRL, a Romanian commercial company that operates the mkor.eu and mkor.eu platforms and provides market research services.

„User”, „You” or „Data Subject” – any natural person who accesses the Site or uses MKOR Services.

„Panel Member” or „Participant” – the User who has registered in the MKOR research panel and participates in studies and questionnaires.

„Site” or „Platform” – the websites operated by MKOR, including, but not limited to mkor.eu and mkor.eu, together with all associated subdomains and applications.

„Services” – all services offered by MKOR through the Platform, including access to the Site, panel registration, participation in studies, receiving communications, and participation in sweepstakes.

„Study” or „Questionnaire” – any market research activity conducted by MKOR, including online surveys, polls, focus groups, and other data collection methods.

„Sweepstake” or „Draw” – the reward system through which Panel Members can win cash prizes by drawing lots.

„Account” – the personal account created by the User for the purpose of participating in the panel and studies.

„Personal Data” – any information regarding an identified or identifiable natural person, according to Regulation (EU) 2016/679 (GDPR).

„Client” – third parties who contract MKOR’s research services.

„Content” – all materials, information, texts, images, graphics, logos, videos, and any other elements present on the Site or within the Studies.


2. Acceptance of Terms

2.1 Your Agreement

By accessing our Site, by creating an Account, or by participating in any Study, you confirm that you have read, understood, and accepted this document in its entirety. These Terms and Conditions constitute a binding legal agreement between You and MKOR.

2.2 Acceptance Mechanism

Acceptance of these Terms and Conditions is achieved through:

a) Checking the acceptance box at the time of panel registration;

b) Continued use of the Site or Services after the publication of updated versions;

c) Participation in any Study, which implies the implicit acceptance of these terms.

2.3 Legal Capacity

By accepting these Terms, you declare that you have full legal capacity to enter into this agreement. If you accept these Terms on behalf of another person or entity, you declare and warrant that you have the necessary authorization to represent them.

2.4 Refusal of Acceptance

In case you do not agree with any of the provisions of this document, please do not use the Site and do not register in the panel. Continued use of our Services constitutes unconditional acceptance of these Terms.


3. Eligibility

3.1 Minimum Age

To use MKOR Services and register as a Panel Member, you must be at least 16 years old. This age limit is established in accordance with the provisions of the General Data Protection Regulation (GDPR) and applicable Romanian legislation.

By creating an Account, you declare and warrant that you are at least 16 years old.

3.2 One Single Account per Person

Each person has the right to hold one single Account in the MKOR panel. Creating or holding multiple accounts by the same person is strictly prohibited and constitutes a serious violation of these Terms.

MKOR reserves the right to verify and identify multiple accounts using various technical and administrative methods. All identified duplicate accounts will be suspended or deleted, and any associated prizes will be canceled.

3.3 Accurate and Complete Information

Upon registration and throughout the use of the Services, you are required to provide accurate, complete, and up-to-date information. Providing false, incomplete, or misleading information may lead to:

a) Suspension or closure of the Account;

b) Disqualification from raffles and loss of prizes;

c) Prohibition of future participation in the Services.

3.4 Prohibition of VPN and Proxy Use

The use of VPN (Virtual Private Network) services, proxies, or any other tools or techniques that hide or modify the real IP address or geographic location is strictly prohibited while accessing the Site or participating in Studies.

This restriction is necessary for:

  • Ensuring the quality of research data;
  • Preventing fraud and multiple responses;
  • Verifying geographic eligibility for certain studies.

Detection of the use of such services may lead to the immediate suspension of the Account and disqualification from prizes.

3.5 Additional Restrictions

The following cannot participate in raffles and prize draws:

  • Employees of MKOR Consultanta SRL and their family members (spouse, children, parents, siblings);
  • Persons directly involved in organizing the raffles;
  • Persons declared winners who have not claimed their previous prize within the established timeframe.

4. Description of Services

4.1 Services for Site Visitors

MKOR offers the following services to all Site visitors:

a) Access to information – presentation of research services, case studies, articles, and public reports;

b) Contact forms – the possibility to request information or offers;

c) Newsletter – subscribing to periodic communications about the research industry and MKOR’s activity (with prior consent).

4.2 Services for Panel Members

Registered Panel Members benefit from the following additional services:

a) Participation in Studies – receiving invitations to complete questionnaires and participate in various types of research;

b) Participation in Raffles – inclusion in draws for cash prizes, under the conditions set forth in Section 8;

c) Account Management – access to a personal profile to update information and preferences;

d) Personalized communications – receiving invitations to studies relevant to the demographic profile.

4.3 Voluntary Nature of Participation

Participation in any Study is completely voluntary. There is no obligation to accept or complete any questionnaire. You may refuse participation in any Study without providing explanations and without negative consequences on your Account status.

4.4 Availability of Studies

MKOR does not guarantee a minimum number of invitations to Studies. The frequency and type of available studies depend on:

  • Our clients’ requirements;
  • The demographic criteria of each study;
  • Your profile and participation history;
  • General availability of research projects.

5. Registration and Account

5.1 Registration Process

To become a Panel Member, you must complete the following steps:

a) Completing the registration form with the requested information;

b) Verifying the email address by accessing the confirmation link;

c) Accepting the Terms and Conditions and the Privacy Policy;

d) Completing the demographic profile for a better match with relevant studies.

5.2 Account Security

You are responsible for:

a) Maintaining the confidentiality of authentication data (username and password);

b) Using a strong password and changing it periodically;

c) Immediately notifying MKOR in case of unauthorized access or account compromise;

d) All activities carried out through your Account.

MKOR will not be responsible for losses resulting from the unauthorized use of your Account.

5.3 Updating Information

You have the obligation to keep the profile information updated and accurate. Accurate demographic information is essential for:

  • Matching with relevant studies;
  • Ensuring research quality;
  • Correct processing of prizes.

5.4 Non-transferability of the Account

Your account is personal and non-transferable. You do not have the right to:

  • Allow other people to use your Account;
  • Transfer or sell the Account to third parties;
  • Use another person’s Account.

5.5 Inactivity Policy

MKOR does not apply automatic termination for inactive accounts. Your account will remain active regardless of the period of inactivity, except in cases where you personally request closure or violate these Terms.

However, we reserve the right to temporarily deactivate accounts inactive for a long period (over 24 months) for security reasons, with the possibility of reactivation upon request.


6. Participation in Studies

6.1 Invitations and Selection

Invitations to Studies are sent based on:

  • Demographic criteria established by clients;
  • Your profile and the information provided;
  • Participation history and quality of answers;
  • Quotas required for each study.

Not all Panel Members will receive invitations to all studies. Selection is made based on the specific needs of each research project.

6.2 Quality Requirements

To maintain the integrity of the research, please respect the following:

a) Answer honestly – provide answers that reflect your real opinions and behaviors;

b) Read carefully – go through the questions in full before answering;

c) Allow sufficient time – do not rush through completing the questionnaires;

d) Pass attention checks – some studies contain control questions for checking attention;

e) Do not look for “correct” answers – in research there are no correct or wrong answers, only honest opinions.

6.3 Control and Verification Questions

Our studies may contain attention check questions and mechanisms for detecting low-quality responses. Repeated failure of these checks may lead to:

a) Invalidation of answers and exclusion from the study;

b) Disqualification from associated raffles;

c) Reduction in the frequency of future invitations;

d) In repeated cases, suspension of the Account.

6.4 Fraudulent Responses

The following are considered fraudulent responses and are strictly prohibited:

a) Random or nonsensical answers;

b) Providing false demographic information to qualify for studies;

c) Using automated programs (bots) to complete questionnaires;

d) Completing the same study multiple times;

e) Copied or AI-generated responses;

f) Any other form of manipulation of research results.

Detection of fraudulent responses leads to the sanctions provided in Section 17.


7. Confidentiality of Studies

7.1 Confidentiality Obligation

All content of the Studies you participate in is strictly confidential. By participating in any Study, you assume the obligation to maintain complete confidentiality over all materials and information to which you have access.

This obligation represents an essential condition of the contractual relationship between you and MKOR and is fundamental for protecting the legitimate interests of our clients.

7.2 Confidential Materials

The following are considered confidential materials and may not be disclosed, copied, photographed, recorded, or shared in any way:

a) Product concepts – descriptions, images, prototypes, or ideas for new products;

b) Advertising materials – advertisements, spots, posters, campaigns in the testing phase;

c) Research stimuli – any visual, audio or video materials presented within the studies;

d) Questionnaire questions – the exact wording of the questions and response options;

e) Your answers – the opinions expressed within the studies;

f) Client names – the identity of the companies for which the research is conducted (when disclosed);

g) Research methodology – the techniques and tools used.

7.3 Duration of the Obligation

The confidentiality obligation is permanent and remains in effect even after:

  • Completion of the respective study;
  • Closing of your Account;
  • Termination of any relationship with MKOR.

7.4 Consequences of Breach of Confidentiality

BREACH OF THE CONFIDENTIALITY OBLIGATION CONSTITUTES A SERIOUS MISCONDUCT and will entail the following consequences:

a) Immediate termination of the Account and permanent exclusion from the panel;

b) Cancellation of all prizes won and pending;

c) Possible legal actions for the recovery of damages caused;

d) Informing the affected client about the breach.

MKOR reserves the right to seek compensation for all direct and indirect damages caused by the breach of confidentiality.


8. Raffles and Prizes

8.1 Raffle Reward System

MKOR uses a public raffle system to reward study participants. For each study, draws are organized with 1 to 3 cash prizes, depending on the size and complexity of the study.

8.2 Eligibility for Prizes

To be eligible for the raffle, you must:

a) Be a Panel Member with an active Account;

b) Complete the questionnaire in full (valid answers);

c) Comply with quality requirements (pass attention checks);

d) Not violate any of the provisions of these Terms;

e) Not fall into the exclusion categories (MKOR employees, family members, etc.).

8.3 Free Participation

Participation in raffles is completely free. No purchase or payment is required to participate. The only condition is the valid completion of the associated questionnaire.

8.4 Drawing Process

The drawing of winners is carried out through:

a) Random method – use of a certified random number generator;

b) Transparent – the draw can be audited to verify correctness;

c) After the study concludes – the draw takes place after the data collection period has ended.

8.5 Notification of Winners

Winners will be notified via:

a) E-mail – at the address associated with the Account;

b) Response deadline – winners must confirm acceptance of the prize within 14 calendar days;

c) In case of non-confirmation – the prize may be redistributed to another participant.

8.6 Awarding of Prizes

Cash prizes will be awarded via:

a) Bank transfer – to the account indicated by the winner;

b) Payment term – within a maximum of 30 days from the confirmation of payment details;

c) Currency – prizes are awarded in Lei (RON).

8.7 Tax Obligations

Winners are informed that:

a) Prizes may be subject to taxation according to Romanian tax legislation;

b) Tax responsibility belongs entirely to the winner;

c) MKOR may be required to withhold tax at the source, according to the law;

d) Upon request, MKOR will provide the necessary documents for tax declarations.

8.8 Forfeiture of the Right to the Prize

The right to the prize is lost if:

a) The winner does not respond within the 14-day deadline;

b) Contact information is incorrect and the winner cannot be contacted;

c) It is later discovered that the participation violated these Terms;

d) The winner refuses to provide the necessary data for payment.


9. Intellectual Property

9.1 MKOR Rights

MKOR owns or is licensed for all intellectual property rights over:

a) The Site and Platform – design, structure, source code, functionalities;

b) Trademarks and logos – “MKOR” and any other associated marks;

c) Research methodologies – techniques, tools, procedures developed by MKOR;

d) Databases – the structure and organization of the collected information;

e) Editorial content – articles, reports, published studies.

9.2 Clients’ Rights

MKOR clients own the intellectual property rights over:

a) Research stimuli provided for studies;

b) Concepts and materials tested;

c) Commissioned research results.

9.3 License for Your Responses

By participating in Studies, you grant MKOR and its clients a non-exclusive, perpetual, worldwide, irrevocable, and royalty-free license to use, analyze, process, and include your responses in reports, in anonymized and aggregated form.

This license allows:

  • Statistical analysis of responses;
  • Inclusion in research reports;
  • Use for service improvement;
  • Archiving for longitudinal studies.

9.4 Permitted Use of the Site

You are granted a limited, non-exclusive, and revocable license to access and use the Site for personal and non-commercial purposes. Any other use requires the prior written consent of MKOR.

9.5 Restrictions

You do not have the right to:

a) Reproduce, distribute, or publish the Site content without MKOR’s consent;

b) Modify, adapt, or create derivative works;

c) Use data mining, scraping, or automated data extraction techniques;

d) Remove copyright or trademark notices;

e) Use MKOR trademarks without written authorization.


10. Protection of Personal Data

MKOR processes personal data in accordance with:

a) Regulation (EU) 2016/679 (GDPR);

b) Law no. 190/2018 on measures for the implementation of GDPR;

c) Law no. 506/2004 on electronic communications;

d) The ICC/ESOMAR Code on market and social research.

10.2 Privacy Policy

We recommend that you read this document carefully, as it is an integral part of the contractual relationship.

10.3 Categories of Processed Data

MKOR may process the following categories of data:

a) Identification data – surname, first name, e-mail address;

b) Demographic data – age, gender, occupation, education level, income;

c) Contact data – phone number, postal address (for prizes);

d) Technical data – IP address, device type, browser;

e) Responses to questionnaires – opinions, preferences, declared behaviors.

10.4 Sensitive Data

In certain studies, with your explicit and separate consent, MKOR may collect data from special categories, such as:

a) Health data (for medical studies);

b) Political or religious opinions;

c) Data regarding ethnic origin;

d) Data regarding sexual orientation.

The processing of these data is done exclusively based on explicit consent, for legitimate research purposes and with additional protection measures.

10.5 Your Rights

According to GDPR, you benefit from the following rights:

a) Right of access – to find out what data we process about you;

b) Right to rectification – to correct inaccurate data;

c) Right to erasure (“the right to be forgotten”) – to request the deletion of data;

d) Right to restriction – to limit processing under certain conditions;

e) Right to portability – to receive data in a structured format;

f) Right to object – to object to processing in certain situations;

g) Right not to be subject to automated decisions – including profiling.

10.6 ANSPDCP Complaints

You have the right to lodge a complaint with the National Supervisory Authority for Personal Data Processing (ANSPDCP):


11. Data Anonymization and Processing

11.1 The Principle of Separation

MKOR applies the principle of separating identification data from questionnaire responses. This means that:

a) MKOR clients do not receive your personal identification data;

b) Responses are reported only in aggregated and statistical form;

c) No individual respondent can be identified in research reports.

11.2 Anonymization

The anonymization process involves:

a) Removing all direct identifiers (name, email, phone);

b) Aggregating responses for sufficiently large groups;

c) Applying statistical protection techniques against re-identification;

d) Reviewing reports to eliminate potentially identifying information.

11.3 Use of Artificial Intelligence and Machine Learning

MKOR may use artificial intelligence (AI) and machine learning (ML) technologies for:

a) Analysis and processing of open-text responses;

b) Identifying patterns and trends in data;

c) Improving research methodologies;

d) Detecting fraudulent or low-quality responses.

Guarantees regarding the use of AI/ML:

a) Processing is done exclusively on anonymized or aggregated data;

b) No automated individual decisions with significant legal effects are made;

c) AI results are used only for statistical purposes;

d) Transparency: we inform you when a study uses AI technologies.

11.4 Compliance with ESOMAR/ICC Standards

MKOR complies with the ICC/ESOMAR International Code on market research, which provides for:

a) Protection of respondents’ identity;

b) Clear distinction between research and direct marketing;

c) Ethical data processing;

d) Transparency towards participants.


12. User Obligations

12.1 General Obligations

As a User of MKOR Services, you have the following obligations:

a) To provide correct information – all data provided must be accurate and current;

b) To maintain Account security – to keep authentication data confidential;

c) To answer honestly – to provide responses that reflect your real opinions;

d) To respect confidentiality – not to disclose the content of the studies;

e) To use a single identity – not to create or use multiple accounts.

12.2 Prohibitions

You are prohibited from the following actions:

a) Use of VPN, proxy, or other connection anonymization tools;

b) Attempting to access studies for which you are not eligible;

c) Providing false or random answers;

d) Use of automated software to complete questionnaires;

e) Sharing study invitations with other people;

f) Attempting to influence or manipulate research results;

g) Any illegal or fraudulent activity in connection with the Services;

h) Harassment of MKOR employees or collaborators;

i) Violation of intellectual property rights.

12.3 Compliance with Legislation

You agree to use MKOR Services in accordance with all applicable laws and regulations in Romania and your country of residence.


13. MKOR’s Obligations

13.1 Data Protection

MKOR undertakes to:

a) Process personal data in accordance with GDPR;

b) Implement appropriate technical and organizational security measures;

c) Notify authorities and data subjects in case of security breaches;

d) Respect the rights of data subjects.

13.2 Platform Security

MKOR will make reasonable efforts to:

a) Maintain the availability of the Platform;

b) Protect against unauthorized access;

c) Perform regular backups;

d) Update security measures.

13.3 Fairness of Raffles

MKOR guarantees that:

a) Draws are conducted through a random and impartial process;

b) All eligible participants have equal chances;

c) Prizes are awarded according to the announced rules;

d) The process can be audited for verification.

13.4 Professional Standards

MKOR commits to:

a) Comply with the ICC/ESOMAR Code on market research;

b) Maintain high standards of professional ethics;

c) Clearly distinguish research from direct marketing;

d) Respond to participants’ questions and concerns.

13.5 Communication

MKOR will:

a) Provide clear information about studies and rewards;

b) Respond to legitimate requests within a reasonable timeframe (maximum 30 days);

c) Notify important changes to the Terms 30 days in advance;

d) Maintain accessible communication channels.


14. Warranties and Disclaimers

14.1 Services Provided “As Is”

The Website and Services are provided “as is” and “as available”, without warranties of any kind, express or implied, to the extent permitted by applicable law.

14.2 Lack of Specific Warranties

MKOR does not guarantee:

a) Uninterrupted availability of the Platform or Services;

b) Absence of errors, malfunctions, or security vulnerabilities;

c) A minimum number of study invitations;

d) Winning prizes or participating in certain raffles;

e) Compatibility with all devices or browsers.

14.3 Nature of Research

Market research results represent estimates and opinions based on samples and cannot be considered exact predictions or absolute truths. MKOR does not guarantee the accuracy, completeness, or applicability of research results for any specific purpose.

14.4 Third-Party Content

The Website may contain links to third-party websites or services. MKOR is not responsible for the content, policies, or practices of these third parties and does not control them in any way.


15. Limitation of Liability

15.1 Liability Cap

To the maximum extent permitted by applicable law, MKOR’s total liability to a Panel Member, regardless of the cause of action, shall not exceed the total value of the prizes won by that Panel Member in the 12 months preceding the event that gave rise to the claim.

15.2 Exclusion of Indirect Damages

MKOR shall not be liable for:

a) Indirect, incidental, or consequential damages;

b) Loss of profit, revenue, or anticipated savings;

c) Loss of data or information;

d) Punitive or exemplary damages;

e) Any damages that could not be reasonably foreseen.

15.3 Exceptions

The limitations above do not apply to:

a) Death or personal injury caused by MKOR’s negligence;

b) Fraud or gross negligence on the part of MKOR;

c) Breach of GDPR obligations by MKOR;

d) Other situations where the law prohibits the limitation of liability.

15.4 Jurisdictions with Restrictions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In these cases, the limitations above will apply to the maximum extent permitted by applicable law.


16. Indemnification

16.1 Obligation to Indemnify

You agree to indemnify, defend, and hold harmless MKOR, its affiliates, directors, employees, agents, and partners from any claims, damages, obligations, losses, liabilities, costs or debts, and expenses (including, but not limited to, attorney’s fees) resulting from or in connection with:

a) Breach of these Terms by you;

b) False information provided by you;

c) Unauthorized use of your Account by third parties, if this was possible due to your fault;

d) Breach of confidentiality of the studies;

e) Infringement of third-party rights through your actions;

f) Illegal activities carried out through the Services.

16.2 Procedure

In the event of a claim covered by this section:

a) MKOR will promptly notify you of the claim;

b) You will have the right to assume the defense, subject to MKOR’s approval;

c) MKOR will reasonably cooperate in the defense;

d) You will not enter into agreements that affect MKOR’s rights without its written consent.


17. Termination of the Contractual Relationship

17.1 Termination at the User’s Initiative

You may request the closure of the Account and the termination of the contractual relationship at any time, without invoking any reason, by:

a) Accessing the Account settings and selecting the delete option;

b) Sending an email to [email protected] with this request;

c) Contacting the support service.

Upon Account closure:

  • Access to Services will cease immediately;
  • Your data will be processed according to the Privacy Policy;
  • Prizes won and unclaimed will be processed according to Section 8.

17.2 Termination at MKOR’s Initiative

MKOR reserves the right to temporarily suspend or permanently close your Account in the following situations:

a) Breach of the Terms and Conditions, including providing false information;

b) Fraudulent activity or fraud attempts;

c) Multiple accounts held by the same person;

d) Use of VPN/proxy or other attempts to mask identity;

e) Breach of confidentiality of the studies;

f) Low-quality responses repeated or systematic;

g) Abusive behavior towards MKOR employees or partners;

h) Illegal activities in connection with the Services;

i) Legal requirements or orders from authorities.

17.3 Termination for Cause Procedure

In case of termination for cause attributable to the User:

a) MKOR will notify the User by email about the termination and the reason for it;

b) The User may contest the decision within 15 days;

c) MKOR will analyze the contestation and communicate the final decision within 30 days.

17.4 Effects of Termination for Cause

In case of Account closure for breach of these Terms:

a) Pending prizes will be canceled and will not be awarded;

b) The User will be permanently excluded from the panel;

c) MKOR reserves the right to seek damages for the harm caused;

d) The confidentiality obligation remains in force permanently.

17.5 Survival of Clauses

Termination of the contractual relationship does not affect the clauses which, by their nature, are intended to survive termination, including, but not limited to: confidentiality, intellectual property, limitation of liability, indemnities, and dispute resolution.


18. Modification of Terms and Conditions

18.1 Right of Modification

MKOR reserves the right to modify these Terms and Conditions at any time, for justified reasons, such as:

a) Changes to applicable legislation;

b) Improvement or modification of the Services;

c) Security considerations;

d) Clarification of existing terms;

e) Adaptation to market or industry developments.

18.2 Notification of Changes

In case of substantial changes, MKOR will notify you at least 30 days before they come into force through:

a) E-mail to the address associated with the Account;

b) Visible announcement on the Site;

c) Notification upon logging into the Account.

Minor or formal changes (error corrections, clarifications that do not affect your rights) may be made without prior notice.

18.3 Acceptance of Changes

Continued use of the Services after the new Terms come into force constitutes acceptance of them. If you do not agree with the changes, you have the right to request the closure of the Account before they come into force, without penalties.

18.4 Version Archive

Previous versions of the Terms and Conditions are archived and can be requested by contacting MKOR.


19. Force Majeure

19.1 Definition

Neither party shall be liable for the non-performance or defective performance of its obligations if this is due to force majeure events, respectively unpredictable and insurmountable circumstances, beyond the control of the affected party.

19.2 Force Majeure Events

The following are considered force majeure events, by way of example:

a) Natural disasters (earthquakes, floods, storms);

b) Wars, acts of terrorism, armed conflicts;

c) Epidemics, pandemics;

d) Major interruptions of communication or energy networks;

e) Large-scale cyber attacks;

f) Legislative or regulatory changes that prevent performance;

g) General strikes or lock-outs.

19.3 Obligations in Case of Force Majeure

The party affected by a force majeure event:

a) Will notify the other party within a reasonable time;

b) Will make reasonable efforts to limit the effects;

c) Will resume the performance of obligations as soon as the event ceases.


20. Complaints and Dispute Resolution

20.1 Internal Complaints Procedure

In case of any dissatisfaction related to MKOR Services, we encourage you to contact us directly first for an amicable resolution:

MKOR undertakes to respond to complaints within a maximum of 30 calendar days from receipt.

20.3 Alternative Dispute Resolution (ADR)

This platform allows you to submit complaints online and find alternative resolution entities.

20.4 Exclusive Jurisdiction

For any dispute that cannot be settled amicably, exclusive jurisdiction lies with the courts of Romania.

You choose to waive any right to file actions in courts of other jurisdictions.

20.5 Applicable Law

These Terms and Conditions are governed by and construed in accordance with Romanian law. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.


21. Final Provisions

21.1 Entire Agreement

These Terms and Conditions, together with the Privacy Policy and any other documents referred to, constitute the entire agreement between you and MKOR regarding the use of the Services and supersede all prior agreements, understandings, or representations, whether written or oral.

21.2 Severability

If any provision of this document is declared void, invalid, or unenforceable by a court of competent jurisdiction, the other provisions remain fully valid and applicable. The affected provision will be interpreted or modified to the minimum extent necessary to become valid and applicable, preserving as much as possible the original intent of the parties.

21.3 Waiver of Rights

No delay or omission by MKOR in exercising any right or remedy shall be considered a waiver of that right or remedy. A waiver regarding a specific breach does not constitute a waiver regarding previous or future breaches.

21.4 Assignment

MKOR may assign or transfer its rights and obligations under this agreement to any affiliate or in the event of a merger, acquisition, or sale of assets, without your prior consent, provided that the assignee assumes the obligations under these Terms.

You do not have the right to assign or transfer the rights or obligations under this agreement without the prior written consent of MKOR.

21.5 Language Version

These Terms and Conditions are drafted in Romanian and may be translated into other languages for convenience. In case of any inconsistencies between the Romanian version and any translation, the Romanian version shall prevail.

21.6 Section Headings

The section headings in this document are for guidance only and do not affect the interpretation of the provisions.

21.7 Relationship between the Parties

Nothing in these Terms creates a partnership, joint venture, employment, or representation relationship between MKOR and you. You are an independent contractor, and MKOR has no authority to represent you or make commitments on your behalf.
